Sandbox Terms and Conditions (Terms)
Throughline Limited (we, us or our) agrees to provide you (“Customer” or you) a sandbox application of the ThroughLine API (“Sandbox”) subject to these Terms. Acceptance of the Sandbox will (notwithstanding any statement to the contrary by you or your employees or agents) constitute acceptance of these Terms.
As part of the Sandbox, we will grant you access to United States and New Zealand helpline data via the ThroughLine Application Programming Interface (“API”).
You hereby acknowledge and agree that our Standard Terms will apply to our provision of the Sandbox, provided that:
- the Sandbox will only contain a limited subset of information as compared to a full version; and
- the ‘Fees’ will be zero ($0.00).
You hereby acknowledge and agree that our Privacy Policy (available here: https://www.throughlinecare.com/privacy-policy) will apply to our provision of the Sandbox.
Notwithstanding the Standard Terms, you hereby acknowledge and agree that, for our provision of the Sandbox:
- We, our employees and agents will not be liable to you for any loss or damage whatsoever arising directly or indirectly in connection with these Terms and/or the Sandbox, including (without limitation) any loss of profit, business, revenue, goodwill, data, privacy or anticipated savings. This exclusion of liability applies to liability in contract, tort (including negligence) and any other principle of legal liability (including any claim in equity).
- In the event that any limitation or provision contained in these Terms is invalid for any reason and we become liable for loss or damage that would otherwise have been excluded, such liability is limited to the amount of ten New Zealand Dollars (NZD $10.00).
Notwithstanding the Standard Terms, We may terminate our agreement to provide the Sandbox to you at any time, without cause, by not less than 1 days’ prior notice in writing.
If you sign a Master Services Agreement with us, these Terms will automatically terminate.
In the event of any inconsistency between these Terms, the ThroughLine Limited Master Services Agreement you acknowledge and agree that these Terms will prevail.
If any provision of these Terms is held by any court to be illegal, void or unenforceable, that will not impair the enforceability of the remaining provisions.
These Terms are governed by, and will be construed in accordance with, the laws of New Zealand. Both parties submit to the non-exclusive jurisdiction of the New Zealand Courts.
We may review and change these Terms at any time and from time to time. Any such change will take effect from the date on which we notify you of the change. You consent to such future changes being made by updates on our website and agree that such update will constitute agreement by you to the amended terms.
